TERMS OF USE (last updated 2/24/2007)

By participating at Digital Scrapbook Place, Inc. (DSP), www.digitalscrapbookplace.com, and in the message and gallery forums, you acknowledge and accept the following terms:

1. No Advertising or Soliciting.
Advertisements, store or product announcements, for sale or trade, coupons, sales, consultants, eBay postings, etc. are not allowed. Links, names, nicknames, acronyms, or references to other commercial scrapbooking or book binding companies, websites, or stores are not permitted. This includes the promotion of products, sites, companies, etc. by including “Design Team Member” or any other association with a commercial scrapbooking site as well as describing a product as “available at” a commercial scrapbooking site in forum posts or uploaded layouts. Links to other sites with helpful resources are permitted for informational, not advertising, purposes. Links to sites to give credit for free or purchased graphics are not permitted. No chain letters, pyramid schemes, or solicitations are permitted. DSP reserves the right to delete or edit any thread, post, description, photo, avatar, signature, or other area containing any of the above mentioned. Please note this includes soliciting or promoting through the use of the DSP mail system. Accounts may be deleted without warning through this infraction.
DSP offers options for advertising and marketing of products, sites, etc. including options for banner advertising and featured products. Please click here for more information on opportunities available. DSP is a store and company and we ask that it be respected. The forums, galleries, and mail system are intended for the private use of our users for the promotion of digital scrapbooking. It is not intended as a means for mass marketing at our expense.

2. No Unauthorized Personal Information.
Please do not post names, addresses, phone numbers, or other personal, private, or privileged information of other users without permission. If an incident has occurred, the matter should be resolved privately or in other arenas.

3. Please respect others rights to opinions.
Threads that become overly controversial or personal in nature, especially when containing profanities, flaming, or other comments of an offensive nature, may be removed. Please contact us with concerns about threads: info@digitalscrapbookplace.com.

4. This board is lightly moderated; DSP is not responsible for the content.
It is impossible for DSP to review all messages or confirm the validity of all information or links posted. We do not vouch for or warrant the accuracy, completeness, or usefulness of any message, and are not responsible for the contents of any message. The messages express the views of the author of the message, not necessarily the views of DSP or any entity associated with DSP. Any user who feels that a posted message is objectionable is encouraged to contact us immediately: info@digitalscrapbookplace.com. We reserve the right to remove objectionable messages and will make every effort to do so, within a reasonable time frame, if it is determined that removal is necessary. This is a manual process, however, so please realize that DSP may not be able to remove or edit particular messages immediately.
You agree, through your use of this service, that you will not use this site to post any material which is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person's privacy, or otherwise violates any law. You agree not to post any copyrighted material unless the copyright is owned by you or proper credit is given including the original creator’s name.
Although DSP is not responsible for the content of any messages, DSP reserves the right to delete any message for any or no reason whatsoever. You remain solely responsible for the content of your messages, and you agree to indemnify and hold harmless Digital Scrapbook Place, Inc. and their agents with respect to any claim based upon transmission of your message(s). DSP reserves the right to reveal your identity (or whatever information available) in the event of a complaint or legal action arising from any message posted by you.

5. Children under 13 must have parental permission to use this site.
According to the COPPA Policy, all users under the age of 13 must seek permission from their parent or guardian in order to gain membership to DSP forums and galleries. While DSP welcomes participation from members under 13, it is required that a parent or guardian fax or mail back a signed permission form before membership is granted. This information is available during the registration process.

6. Changes to this policy will be posted.
DSP may update this policy at any time. You may be notified by email about significant changes through your email address specified on your account or by notices posted on the site, including the date the changed policy is updated.

Your privacy is very important to DSP. We do not sell or rent your personal information to third parties for their marketing purposes. DSP will not share your information with anyone else. We respect your privacy and use information only for our business purposes.
DSP’s purpose in collecting personal information is to provide you with a safe, smooth, efficient, and customized experience. This allows us to provide services and features that most likely meet your needs, and to customize our service to make your experience safer and easier. We only collect personal information about you that is necessary for achieving this purpose.
You can browse the site without telling who you are or revealing any personal information about yourself. Once you give your personal information, you are no longer anonymous. If you choose to use our services, we may require you to provide contact and identity information, billing information, shipping information, and other personal information as indicated on the forms throughout the site. Where possible, fields are indicated as required or optional.
DSP uses data collection devices such as "cookies" on certain pages of the site to help analyze our web page flow, measure promotional effectiveness, and promote trust and safety. "Cookies" are small files placed on your hard drive that assist us in providing our services. We offer certain features that are only available through the use of a "cookie". We also use cookies to allow you to enter your password less frequently during a visit.

Any reproduction without express permission from the copyright or trademark owner is a violation of law and is prohibited. DSP and the developers of this site disclaim all liability related to the unauthorized copying, reproduction, or other misuse of the images and products displayed.
All digital scrapbooking images offered for sale or for free at www.digitalscrapbookplace.com are copyrighted by Digital Scrapbook Place, Inc or the individual designer as indicated in the text file included with the products and are for personal use only unless permission from DSP is granted. Please read the End User License Agreement. They may not be reproduced for sale or redistributed in any way without permission from DSP. No commercial use is permitted without permission from DSP. Click here for distribution or commercial use information. Do not use any images for obscene, defamatory, or immoral works or any other purpose that is prohibited by law. If you post scrapbook pages or other projects online or submit them to magazines using any of these images, include the CD or product title and Designer's name and/or www.digitalscrapbookplace.com in the credits. LIMITATION OF LIABILITY (last updated 8/29/2005)

Under no circumstances, including negligence, shall Digital Scrapbook Place, Inc., or it's designers or agents, be responsible for any damages or loss that result from the use of, or inability to use any of the products sold or distributed by DSP. If any legal action arises out of copyright infringement, DSP and it's designers or agents shall be indemnified and held harmless of any and all costs or damages that you or DSP or it's designers or agents incur.

END USER LICENSE AGREEMENT (last updated 2/24/2007)

This DSP End User Agreement (Agreement) becomes a binding contract between you and Digital Scrapbook Place, Inc.. If you do not wish to be bound by the Agreement, you cannot access, use, or download any DSP Products offered for free or for sale. Please read all of the Agreement before you agree to be bound by its terms and conditions.
You hereby agree to the following:
1. You are bound by the Agreement and you acknowledge that all use of DSP Products supplied to you by Digital Scrapbook Place, Inc. is governed by the Agreement.

2. “DSP” as used herein shall mean collectively Digital Scrapbook Place, Inc., its successors and assigns, its affiliated corporations, its authorized distributors, and any third party which has licensed to DSP any or all of the components of the DSP Product supplied to you pursuant to the Agreement.

3. “DSP Products” as used herein shall mean digital scrapbooking artwork including, but not limited to, Page Kits, Ploppers™, WordArt, Embellishments, Alphabets, and other digital scrapbooking artwork and the individual files within each of those products. It includes all artwork offered for sale or free by DSP and DSP Designers.

4. “Personal Use” shall mean use of DSP Products for your customary personal purposes and shall not mean any distribution whatsoever of DSP Products or any component or Derivative Work thereof. “Personal Use” shall not include any use of DSP Products by persons that are not members of your immediate household. All such household members shall be notified by you as to the terms and conditions of the Agreement and shall agree to be bound by it before they can have use of DSP Products.

5. The Commercial Use of DSP Products is strictly prohibited without permission from DSP. Click here for commercial use information. This shall include, but is not limited to, any item or file (for example, CDs, graphics files, scrapbook pages, instruction books, or graphics collections) distributed for a fee, any business form or sign, a ticket for an event, a receipt for the purchase of goods or any use of DSP Products that would be perceived as for Commercial Use, in any capacity.

6. You are hereby granted a non-exclusive, non-assignable, non-transferable license to access DSP Products (i) only in a Licensed Unit, (ii) only for your Personal Use, and (iii) only subject to all of the terms and conditions of the Agreement. You have no rights to DSP Products other than as expressly set forth in the Agreement. You agree that DSP owns all right, title, and interest in and to DSP Products, its structure, organization, code, and related files, including all property rights therein such as copyright, design, and trademarks rights. All rights not expressly granted in the Agreement are expressly reserved to DSP.

7. You may post layouts using DSP Products and electronically distribute DSP Products embedded in a “Personal Use” document only when DSP Products embedded in such document (i) is in a static graphic image (for example, a “jpg”) or an embedded electronic document, and (ii) is distributed in a secure format that permits only the viewing and printing (and not the editing, altering, enhancing, or modifying) of such static graphic image or embedded document. You may not embed DSP Products in an electronic document or data file for any reason other than your own Personal Use.

8. You acknowledge that DSP Products are protected by the copyright and other intellectual property laws of the United States and its various States, by the copyright and design laws of other nations, and by international treaties. You agree to treat DSP Products as you would any other copyrighted material. You agree to use trademarks associated with DSP Products according to accepted trademark practice, including identification of the trademark owner’s name. The use of any trademark as herein authorized does not give you any rights of ownership in that trademark and all use of any trademark shall inure to the sole benefit of DSP. You may not change any trademark or trade name designation for DSP Products. If you post scrapbook pages or other projects online or submit them to magazines using any of these images, include the CD or product title and Designer's name and/or www.digitalscrapbookplace.com in the credits. Please respect the terms of use of any site on which you post layouts.

9. You may not rent, lease, sublicense, give, lend, or further distribute DSP Products, or any copy thereof.

10. IN NO EVENT WILL DSP BE LIABLE TO YOU OR ANYONE ELSE (I) FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR LOST SAVINGS, EVEN IF DSP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) FOR ANY CLAIM AGAINST YOU BY ANY THIRD PARTY SEEKING SUCH DAMAGES EVEN IF DSP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. You have the rights expressly set forth in the Agreement and no other. All rights in and to DSP Products, including unpublished rights, are reserved under the copyright laws of the United States and other jurisdictions. All rights reserved. Notwithstanding the foregoing, to the extent that any law, statute, treaty, or governmental regulation shall be deemed by a court of competent jurisdiction to provide you with any additional or different rights from those provided herein and such rights shall be deemed non-waiveable as a matter of law and to supersede the rights specifically provided herein, then such law, statute, treaty, or governmental regulation shall be deemed to be made a part of the Agreement. To the extent that any such rights created by any law, statute, treaty, or governmental regulation are waiveable, you agree that your acceptance of the Agreement shall constitute an effective and irrevocable waiver of such rights. The Agreement may be enforced by DSP or by an authorized agent acting on behalf of DSP.

ARTWORK USAGE GUIDELINES

Digital Scrapbook Place is pleased to offer licensing to use our digital scrapbook graphics to individuals doing work-for-hire as well as to companies for software applications.

Commercial Use for Individuals

Digital Scrapbook Place offers commercial licenses to use our high quality graphics in creating custom artwork for your business or your customers such as scrapbooks, cards, web sites, print ads, posters, clothing, stationery, etc. The final product received by your customers must be a single flattened image, either printed or digital. Graphics may not be given, loaned, rented, or resold individually or in a collection of any kind. Graphics may not be copied, reproduced, or modified for the intent of resale or distribution of any kind. Freebies are also not available to be licensed at this time.
Within each of our CDs and downloadable products, you will see an option to add a commercial use license to your order. Simply click on Commercial (+$30) under Product Use License. You will only need one license for each product you plan to use for profit, then you can use each as many times as you would like.
If you’ve already purchased a CD or downloadable product and wish to use it commercially, you may simply purchase a commercial license separately by clicking here. Licensing costs $30 per page kit or $100 per CD plus the cost of the product itself. After you order, you will be issued a downloadable license which you must attach to your receipt of the order of the product purchased at full price. Free or discounted products are not eligible for licensing; you will need to purchase them at full price.
You may view the content of each of our CDs or other artwork in our store. Digital Scrapbook Place products will be a great time and money saver for you as a business person, as well as be incredibly fun and easy to use. The ability to change the colors on our products to match your photos or themes makes them valuable commercial tools. Design possibilities are unlimited, as you can see by the layouts in our product gallery.

Distribution Licensing for Software Applications

To include Digital Scrapbook Place graphics in your software application, we will provide the license or gladly review your own license. We will grant permission to use and distribute the graphics in your application, but will not allow you to resell our files separately. Please contact us for more specific information, including pricing for licensing graphics including individual CDs or page kits. We can also customize quotes on a per file basis as needed.
If you want custom, exclusive graphics or require a different format, please let us know. We would be happy to work with you and discuss your needs.
